In a definitive merger agreement, Stryker has announced the acquisition of all issued and outstanding shares of common stock of Vocera Communications Inc., according to a press release.

Stryker will expand its digital health care offerings portfolio with the addition of Vocera’s digital care coordination and communication platforms, according to the release.

The acquisition is expected to close in the first quarter of 2022 at $79.25 per share, a total equity value of $2.97 billion. Including convertible notes, Vocera has a total enterprise value of $3.09 billion.

“This acquisition underscores our commitment and focus on our customer,” Kevin Lobo, chair and CEO of Stryker, said in the release. “Vocera will help Stryker significantly accelerate our digital aspirations to improve the lives of caregivers and patients,” Lobo said.

“Today’s milestone represents an exciting opportunity for Vocera given the clear alignment of mission, goals and culture between our two organizations and our ability to drive even greater economic and clinical value for our customers,” Brent Lang, chair and CEO of Vocera, said in the release.
