Synthes announced it has established a record date and meeting date for the special meeting of stockholders to consider and vote upon the previously announced merger agreement, dated as of April 26, 2011, pursuant to which Synthes will become a wholly owned subsidiary of Johnson & Johnson.

According to a company press release, Synthes stockholders of record at the close of business on Oct. 20 are entitled to notice of and to vote at the special meeting, which will be held at 11:00 a.m. on Dec. 15, in Solothurn, Switzerland.

Synthes stockholders are encouraged to read the definitive proxy statement relating to the special meeting, when it becomes available, the release noted. An invitation with further details on how Synthes stockholders may attend and vote at the special meeting will be published by early November.
